Terms and Conditions
1. Object
1.1. The Client irrevocably instructs Libling to assist it with its installation in Luxembourg.
1.2. Libling Solutions’ services are understood as purely administrative orientation assistance and aim to make their best efforts to help the Client settle in Luxembourg.
1.3. Libling Solutions supports the Client based on the services or package formula chosen according to Appendix 1, the "Service" or "Services" and general Consulting.
2. Services
2.1. The services include the services indicated in the packages presented by Libling Solutions and, in case of indication of a limit or duration, it is understood that the service will be executed as soon as this event occurs. General consulting has a duration of one hour of service by Libling Solutions.
2.2. In the absence of an indication of duration or limit, the Service is understood as assistance with administrative formalities for the introduction of the respective administrative procedure.
2.3. The Client is obliged to spontaneously provide all necessary documents and information.
2.4. The Client acknowledges that Libling Solutions partially uses external service providers and that the result of the Services always depends on the Client and third parties, so Libling Solutions can never be responsible for a result.
2.5. Libling Solutions acts as an intermediary to facilitate processes.
2.6. The Client retains decision-making power in any case and Libling Solutions does not have, unless otherwise agreed, any power to represent the Client.
3. Billing
3.1. Depending on the Services chosen by the Client, Libling Solutions proceeds with invoicing.
3.2. Libling Solutions will not be obliged to provide services if the Client does not make the payment.
3.3. The money will be debited from the payment gateway at the time of subscription.
3.4. Even if Libling Solutions has started providing its services, Libling Solutions may at any time suspend its services, particularly if the Client requests the provision of additional services that have not yet been the subject of a contract or invoicing or payment.
3.5. Libling Solutions' credits are directly due and payable. In case of non-payment, Libling Solutions will charge conventional interest of 10% and will automatically charge all costs incurred in the context of a possible forced recovery (enforcement judge, lawyer, etc.).
4. Declarations
4.1. The Client declares that it has the capacity to enter into this contract and to perform its obligations under this contract.
4.2. The Client declares that there are no obstacles to carrying out the Services.
4.3. The Client spontaneously undertakes to notify Libling Solutions without delay of any information or change that is relevant to the Services.
4.4. Unless expressly declared, no behavior by Libling Solutions can be interpreted as a waiver of a right.
5. Liability
5.1. Except for serious misconduct, Libling Solutions cannot incur any liability.
5.2. Libling Solutions relies during the Services in particular on the information provided by the Client, the accuracy of which it guarantees and otherwise, it assumes in any case alone all consequences in the event of a breach.
5.3. In the event of serious misconduct or any other liability on the part of Libling Solutions, its liability is in any case limited to the amount of the compensation received, less any expenses; amount which constitutes a ceiling for all causes and damages combined.
5.4. Any possible liability of Libling Solutions is limited by facts likely to be covered by its professional liability insurance. As part of this limitation relating to the foreseeability of the damage, the Customer's claims are conditional on effective coverage by the insurance and the Customer cannot act against Libling Solutions during the claim settlement procedure.
6. Data protection
6.1. Libling Solutions must collect the Customer's personal data to fulfill its obligations. In this context Libling Solutions must process and use this personal information. The Customer recognizes and accepts this necessity. The Customer is informed of the risks inherent in electronic communications and accepts them by communicating via this means of communication with Libling Solutions. Libling Solutions is granted the right to save personal data on a computer server, which will be kept for as long as necessary for the performance of the Services, to assert Libling Solutions's rights or to enable Libling Solutions to comply with its obligations. The Client authorizes Libling Solutions to obtain or exchange personal data with any agent, authority or other institutions, administrations, intermediaries, service providers, assistants, etc. in (or which may be used for) the performance of the Services and to comply with the obligations of the this contract.
6.2. The Client has, in particular, the right to access, rectify, port, delete data, or may request the limitation of processing. The Client can object to data processing, exercise their rights, or withdraw their consent at any time by contacting: Info@libling.lu and also calling 00352 691 367 757 Libling Solutions.
6.3. The customer can also file a complaint with the GDPR (General Data Protection Regulation).
7. Applicable law and choice of forum
7.1. This contract is governed by and must be interpreted exclusively in accordance with the substantive law of the Grand Duchy of Luxembourg to the exclusion of private international law.
7.2. Any claim or possible complaint from the Customer must (I) under penalty of forfeiture be brought within 8 (eight) days from the occurrence of the alleged breach to the attention of Libling Solutions and (II) under penalty of inadmissibility be notified before any legal proceedings to Libling Solutions, which must have the possibility of proceeding with an alternative resolution of disputes for a period of 6 (six) months from the notification which must take place by registered letter with acknowledgment of receipt.
7.3. The Parties irrevocably agree that any dispute arising from or in connection with this contract will be submitted exclusively to the courts of the city of Luxembourg, Grand Duchy of Luxembourg.
8. Additional Conditions
8.1. Duration: The duration of the service is contingent upon the contracted package and the responsiveness of the competent authorities and third-party servers. Monthly Plan: The service will have a duration of one calendar month from the start date of the service. For example, if the service starts on August 15th, it will end on the 15th of the following month. Semi-annual Plan: The service will have a duration of six calendar months from the start date of the service. For example, if the service starts on January 1st, it will end on July 1st of the same year. Annual Plan: The service will have a duration of one calendar year from the start date of the service. For example, if the service starts on December 2, 2024, it will end on December 2, 2025.
8.2. 8.3. Payments: Membership payments made by our clients on this platform pertain to consultancy services, guidance throughout the process, and information regarding the requirements for settling in Luxembourg.
9. Access to Services and Communication Channels
9.1. Service Start: The support service will be activated immediately after payment confirmation.

9.3. Frequency of Queries: Affiliates can make as many inquiries as they wish during the validity period of their service.
